1. Introduction and Acceptance
Welcome to PaperGuru AI ("PaperGuru," "we," "us," or "our"), a product of AutoTrust AI Pte. Ltd. (UEN: 202300999D), a company incorporated in Singapore with its registered office at 60 Paya Lebar Road, #06-28, Paya Lebar Square, Singapore 409051.
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "your") and AutoTrust AI Pte. Ltd. governing your access to and use of the PaperGuru website, applications, and AI-powered services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
These Terms incorporate by reference our:
- Privacy Policy
- Acceptable Use Policy (if applicable)
- Any additional terms, policies, or guidelines presented to you in connection with specific features of the Services ("Additional Terms")
In the event of any conflict between these Terms and any Additional Terms, the Additional Terms shall prevail to the extent of the conflict.
2. About PaperGuru AI
PaperGuru is an AI-powered research studio that helps you write, edit, and collaborate on academic papers. PaperGuru provides access to AI models for literature search, section drafting, citation formatting, and revision across academic disciplines.
3. Eligibility
By using the Services, you represent and warrant that:
- You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher;
- You have the legal capacity to enter into a binding agreement;
- If you are using the Services on behalf of an organisation, you have the authority to bind that organisation to these Terms; and
- Your use of the Services does not violate any applicable law or regulation.
We do not knowingly provide the Services to, or collect personal data from, individuals under 13 years of age. If we learn that a user is under 13, we will promptly terminate their account and delete any associated personal data. If you believe a child under 13 has accessed the Services, please contact us at support@paperguru.ai.
4. Account Registration
4.1 Creating an Account
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activities that occur under your account; and
- Promptly notifying us at support@paperguru.ai if you suspect any unauthorised access to your account.
We are not liable for any loss or damage arising from your failure to secure your account.
5. Use of the Services
5.1 Licence Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal or internal business purposes.
5.2 Restrictions
You agree not to:
- Use the Services in any way that violates applicable law or regulation;
- Infringe or violate the intellectual property rights or other rights of any person;
- Use the Services to generate content that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
- Represent that AI-generated Output (defined below) was human-generated;
- Use Output to develop AI models that compete with the Services or any Third-Party Models (defined below);
- Scrape, crawl, spider, or otherwise extract data from the Services by automated or manual means, except as expressly permitted;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Services;
- Attempt to gain unauthorised access to any part of the Services, other users' accounts, or any systems or networks connected to the Services;
- Introduce any malware, virus, or other harmful code into the Services;
- Use the Services to send spam, unsolicited communications, or automated messages;
- Interfere with or disrupt the integrity, performance, or availability of the Services; or
- Copy or store any significant portion of the content available through the Services.
A violation of any of the above is grounds for immediate termination of your access to the Services.
6. Content and Intellectual Property
6.1 Our Intellectual Property
We (and our licensors, where applicable) retain all right, title, and interest in and to the Services, including all software, technology, designs, trademarks, and other intellectual property. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.
6.2 Your Content - Input and Output
- "Input" means any text, documents, prompts, data, or other content you provide to the Services.
- "Output" means any content generated by the Services based on your Input.
- Input and Output are collectively referred to as "Content."
6.3 Ownership
- Your Input: You retain all ownership rights in your Input. You represent and warrant that you have all necessary rights, licences, and permissions to provide your Input to the Services.
- Your Output: As between you and us, and to the extent permitted by applicable law, you own the Output generated from your Input. We hereby assign to you all our right, title, and interest (if any) in and to the Output.
- Non-Uniqueness: Due to the nature of AI, Output may not be unique. Other users may receive similar or identical Output. Our assignment of Output rights does not extend to Output generated for other users.
6.4 Licence to Us
You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, and process your Content solely as necessary to:
- Provide, maintain, and improve the Services;
- Comply with applicable law;
- Enforce these Terms; and
- Keep the Services safe and secure.
Free-tier users: If you are using the Services through an unpaid account, we may additionally use your Content (in anonymised or aggregated form) to further develop and improve the Services. You may opt out of this by upgrading to a paid plan.
6.5 Responsibility for Content
You are solely responsible for your Content, including ensuring that it does not violate any applicable law, regulation, or these Terms. We do not endorse, guarantee, or assume responsibility for the accuracy, completeness, or reliability of any Output.
AI Disclaimer: Output is generated by artificial intelligence and may contain errors, inaccuracies, or outdated information. You should independently verify any Output before relying on it, particularly for academic publication, research, or any consequential purpose.
7. Third-Party AI Models
7.1 Access to Third-Party Models
The Services may enable you to access and use AI models provided by third parties ("Third-Party Models"). Your ability to access Third-Party Models may require you to provide your own API keys or credentials for such services.
7.2 Disclaimer
PaperGuru has no control over, and assumes no responsibility for, the content, accuracy, data practices, or policies of any Third-Party Model provider. Your use of Third-Party Models is governed by the respective provider's terms of service and privacy policy.
7.3 Data Handling
If you use the Services with Third-Party Models, your Content may be transmitted to and processed by those third-party providers in accordance with their own data retention and use policies. We are not responsible for the data practices of Third-Party Model providers.
8. Fees and Payment
8.1 Free and Paid Services
Certain features of the Services are available free of charge. Other features may require payment ("Paid Services"). Current pricing is available at paperguru.ai/pricing. We will notify you before any free feature becomes a Paid Service.
8.2 Payment Processing
All payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). By purchasing Paid Services, you agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms. We do not store your full payment card details.
8.3 Subscription and Recurring Billing
Some Paid Services are offered on a subscription basis with recurring charges (e.g., monthly or annually). By subscribing, you authorise us to charge your selected payment method on a recurring basis until you cancel.
To cancel a subscription, visit your account settings at paperguru.ai/account or contact us at support@paperguru.ai. Cancellation will take effect at the end of the current billing period.
8.4 Refunds
Unless otherwise required by applicable law, fees paid for Paid Services are non-refundable. If you believe you have been charged in error, please contact us at support@paperguru.ai within 14 days of the charge.
8.5 Free Trials
We may offer free trials of Paid Services from time to time. You must cancel before the end of the trial period to avoid being charged. If you are inadvertently charged, please contact us at support@paperguru.ai.
8.6 Taxes
All fees are exclusive of applicable taxes (including GST). You are responsible for paying any taxes associated with your use of the Services, unless we state otherwise.
9. Changes to the Services
We are constantly improving the Services. We may, at any time and without prior notice:
- Modify, update, or discontinue any feature or part of the Services;
- Introduce new features (which may be subject to Additional Terms); or
- Impose limits on certain features or restrict access to parts of the Services.
We will use reasonable efforts to provide advance notice of material changes that negatively affect your use of the Services.
10. Changes to These Terms
We may amend these Terms from time to time. If we make material changes, we will notify you by:
- Posting a notice on our website;
- Sending you an email; or
- Providing notice through the Services.
If you do not agree with the revised Terms, you must stop using the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
No amendment to these Terms by you shall be effective unless agreed to in writing by us.
11. Suspension and Termination
11.1 By You
You may stop using the Services and close your account at any time by contacting us at support@paperguru.ai or through your account settings.
11.2 By Us
We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if:
- You breach these Terms;
- We are required to do so by law;
- We discontinue the Services or any part thereof; or
- We reasonably believe your use of the Services poses a risk to us, other users, or third parties.
Where practicable, we will provide you with notice and an opportunity to export your data before termination.
11.3 Effect of Termination
Upon termination:
- Your licence to use the Services is immediately revoked;
- You must cease all use of the Services;
- We may delete your account and associated data, subject to our data retention obligations under applicable law and our Privacy Policy.
Provisions that by their nature should survive termination shall survive, including Sections 6 (Content and Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law and Dispute Resolution).
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT OR CONTENT.
AI-GENERATED CONTENT IS NOT A SUBSTITUTE FOR PROFESSIONAL ACADEMIC, LEGAL, OR OTHER EXPERT ADVICE. YOU USE THE SERVICES AND RELY ON OUTPUT AT YOUR OWN RISK.
Nothing in these Terms excludes or limits any warranty or right that cannot be lawfully excluded or limited under Singapore law, including the Consumer Protection (Fair Trading) Act (Cap. 52A) ("CPFTA") and the Unfair Contract Terms Act (Cap. 396) ("UCTA").
13. Limitation of Liability
13.1 Exclusion of Certain Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOTRUST AI PTE. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES (COLLECTIVELY, THE "PAPERGURU PARTIES") BE LIABLE TO YOU FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR
- DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES,
HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE PAPERGURU PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE PAPERGURU PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).
13.3 Reasonableness
Each party acknowledges that the limitations and exclusions in this Section 13 are reasonable having regard to the circumstances, and that this Section 13 shall be given effect to the fullest extent permitted under the UCTA and all other applicable laws.
13.4 Exceptions
Nothing in these Terms shall exclude or limit liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation; or
- Any other liability that cannot be lawfully excluded or limited under Singapore law.
14. Indemnification
You agree to indemnify, defend, and hold harmless the PaperGuru Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services;
- Your Content;
- Your violation of these Terms; or
- Your violation of any applicable law or the rights of any third party.
This indemnification obligation is subject to the reasonableness requirement under Section 4 of the UCTA, and shall not require you to indemnify the PaperGuru Parties for losses arising from our own negligence or wilful misconduct.
15. Privacy
We take your privacy seriously. Our collection, use, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.
16.2 Amicable Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services ("Dispute"), the parties shall first attempt to resolve the Dispute through good-faith negotiation for a period of 30 days from the date one party notifies the other in writing of the Dispute.
16.3 Mediation
If the Dispute is not resolved through negotiation within 30 days, either party may refer the Dispute to mediation administered by the Singapore Mediation Centre ("SMC") in accordance with the SMC's mediation rules in force at the time of the referral.
16.4 Arbitration
If the Dispute is not resolved through mediation within 60 days of the mediation referral, either party may refer the Dispute to be finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Arbitration Rules in force at the time of the referral ("SIAC Rules"). The arbitration shall be conducted as follows:
- Seat of arbitration: Singapore
- Language: English
- Number of arbitrators: One (1), to be appointed in accordance with the SIAC Rules
- Governing procedural law: International Arbitration Act (Cap. 143A) of Singapore
The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
16.5 Injunctive Relief
Notwithstanding the above, either party may seek interim or injunctive relief from the courts of Singapore at any time to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, or to preserve the status quo pending resolution of a Dispute.
16.6 Individual Basis
All Disputes shall be resolved on an individual basis. You agree not to bring or participate in any class, collective, consolidated, or representative action or proceeding against us.
17. General Provisions
17.1 Entire Agreement
These Terms (together with the Privacy Policy and any Additional Terms) constitute the entire agreement between you and us regarding the Services and supersede all prior agreements, communications, and understandings, whether oral or written.
17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
17.3 Waiver
No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. Any waiver must be in writing and signed by us.
17.4 Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, without restriction and without notice to you.
17.5 No Agency
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and us.

We may provide notices to you by email to the address associated with your account, by posting a notice on the Services, or by other reasonable means. You may send notices to us at:

17.7 Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, natural disasters, power failures, internet or telecommunications outages, or cyberattacks.
